- All fees are quoted in Canadian dollars (CAD);
- A non-refundable deposit may be required before work begins;
- Invoices are due within the period stated on the invoice or, if not stated, within fifteen (15) days of issuance;

5. Cancellation and Refund Policy
Either party may cancel a project by written notice, subject to the following terms and any more specific project agreement:
- Deposits are non-refundable unless otherwise required by applicable law or expressly stated in writing;
- The client must pay for all work performed and expenses incurred up to the cancellation date;
- If a project is cancelled after work has commenced, Northline Creative Studio Ltd. may invoice for completed milestones, partial work, and committed third-party costs;
- Any files, concepts, or work-in-progress created prior to cancellation remain subject to the intellectual property terms in Section 7 unless otherwise agreed in writing;
- Refunds, if any, will be determined at the sole discretion of Northline Creative Studio Ltd. based on the work completed, provided that nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable law.
No refunds will be provided for approved deliverables, completed services, or unused time unless required by law or agreed in writing.
6. Liability Limitations
To the maximum extent permitted by applicable Canadian law, Northline Creative Studio Ltd., its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, the total aggregate liability of Northline Creative Studio Ltd. for any claim arising from or relating to the Services or these Terms shall not exceed the amount paid by the client to Northline Creative Studio Ltd. for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or the minimum amount permitted by applicable law, whichever is greater.
Northline Creative Studio Ltd. does not warrant that any design, branding, website, or other deliverable will achieve a particular business outcome, ranking, conversion rate, sales result, or regulatory approval.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, willful misconduct, or any other liability that cannot lawfully be limited.
7. Intellectual Property Rights
Unless otherwise agreed in a signed written agreement, all preliminary concepts, drafts, source files, design methods, templates, workflows, and other materials created by Northline Creative Studio Ltd. remain the property of Northline Creative Studio Ltd. until full payment is received.
Upon full payment of all amounts due, the client receives the specific license or ownership transfer stated in the applicable project agreement. If no such transfer is expressly stated, the client is granted a non-exclusive, non-transferable, non-sublicensable license to use the final approved deliverables solely for the client’s internal business and intended external use connected to the project.
Northline Creative Studio Ltd. retains the right to:
- Display non-confidential work in portfolios, case studies, websites, award submissions, and marketing materials, unless otherwise agreed in writing;
- Reuse general knowledge, skills, techniques, and concepts developed in the course of providing the Services, provided that client confidential information is not disclosed;
- Subcontract portions of the Services as reasonably necessary, while remaining responsible for performance subject to these Terms.
The client represents that any materials it supplies do not infringe third-party rights and grants Northline Creative Studio Ltd. a royalty-free license to use such materials solely to perform the Services.
Trademark, copyright, and other intellectual property registrations are the client’s responsibility unless expressly included in the scope of Services.
8. Data Protection and Privacy
Northline Creative Studio Ltd. will handle personal information in a manner consistent with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.

- Provide and administer the Services;
- Communicate with clients and project stakeholders;
- Prepare invoices, maintain records, and fulfill legal or tax obligations;
- Improve internal operations, security, and service quality;
- Comply with lawful requests or applicable legal obligations.
Clients should avoid sharing sensitive personal information unless it is necessary for the project. Northline Creative Studio Ltd. will take reasonable administrative, technical, and organizational safeguards appropriate to the nature of the information and the Services provided, but no method of transmission or storage is fully secure.
Where third-party service providers are used, client data may be processed by those providers subject to their own privacy terms and security measures. By using the Services, the client consents to such processing to the extent necessary to deliver the Services.
9. Force Majeure
Northline Creative Studio Ltd. shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, fire, flood, epidemic or pandemic, war, terrorism, labour disputes, power outages, internet or telecommunications failures, governmental actions, supply shortages, or failures of third-party services.
During any force majeure event, performance obligations will be suspended for the duration of the event and for a reasonable recovery period thereafter. If the event continues for an extended period, either party may terminate the affected project upon written notice, subject to payment for work completed and non-cancellable expenses incurred.
10. Changes to Terms
Northline Creative Studio Ltd. may update or modify these Terms from time to time to reflect changes in business practices, legal requirements, or service offerings.
The updated Terms will become effective on the date stated in the revised version, unless a different effective date is specified. Continued use of the Services after the updated Terms take effect constitutes acceptance of the revised Terms.
Where a project-specific written agreement is already in place, changes to these Terms will not retroactively alter that agreement unless the parties agree in writing.
11. Applicable Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
